Synapse Group
These Terms of Service (“Terms”) govern the licensing and use of any self-hosted software application distributed under the Synapse Group name (each an “Application”, together the “Software”), together with this website and its accompanying documentation and collateral. By downloading, deploying, or using the Software, you (“Licensee”, “you”) agree to be bound by these Terms. If you do not agree, do not deploy or use the Software.
Subject to your compliance with these Terms and payment of any applicable fees, Synapse Group grants you a limited, non-exclusive, non-transferable, revocable licence to install, deploy, and use the Software, in object or source-distributed form as supplied, on infrastructure that you own or control, solely for your own internal business purposes or, where you operate as a managed service provider, for the internal business purposes of your own clients under a separate agreement between you and them.
The Software is designed to be self-hosted: you are solely responsible for provisioning, securing, patching, and backing up the infrastructure (including the underlying operating system, container runtime, and network) on which you deploy it. Synapse Group has no access to, and no responsibility for, data held within your own deployment unless you have entered into a separate managed-hosting or support agreement that says otherwise.
The Software, its source code, object code, documentation, branding, and underlying design remain the exclusive property of Synapse Group. No ownership rights are transferred to you under these Terms — only the limited licence rights described above. Any feedback, suggestions, or feature requests you provide may be used by Synapse Group without restriction or obligation to you.
Licence, subscription, or support fees (if any) are as set out in the applicable order form, quotation, or invoice agreed between you and Synapse Group. Fees are non-refundable except as set out in our Refund Policy.
Unless you hold a separate maintenance or support agreement, Synapse Group has no obligation to provide updates, patches, or support for the Software. Where updates are made available, they may be subject to these Terms in their then-current form.
Except as expressly stated in a signed written agreement, the Software is provided “as is” and “as available”, without warranty of any kind, whether express, implied, statutory or otherwise, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement.
To the fullest extent permitted by law, Synapse Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity, arising out of or in connection with the Software, even if advised of the possibility of such damages. Synapse Group's total aggregate liability arising out of or relating to these Terms shall not exceed the fees actually paid by you for the Application giving rise to the claim in the twelve months preceding the event.
These Terms remain in effect for as long as you use the Software. Synapse Group may terminate your licence immediately on written notice if you materially breach these Terms and fail to remedy that breach within a reasonable period of being notified. On termination, you must cease using the Software and, if requested, confirm in writing that you have uninstalled it from your infrastructure.
Each party agrees to keep confidential any non-public technical, commercial, or business information disclosed by the other party in connection with the Software, and to use it only for the purposes of exercising its rights and obligations under these Terms.
Where Synapse Group processes any personal data on your behalf in connection with the Software or this website, it does so in accordance with our Privacy Policy.
Synapse Group may update these Terms from time to time. The “Last updated” date at the top of this page reflects the most recent revision. Continued use of the Software after an update constitutes acceptance of the revised Terms.
These Terms are governed by the laws of England and Wales, and any dispute arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Questions about these Terms can be sent via the email link in the site header.
